Terms of Service

    These Terms of Service ("Terms") are a legally binding agreement between you ("you," "your," or "User") and Value Snapshot ("Value Snapshot," "we," "us," or "our"). These Terms govern your access to and use of our website, platform, and related services, tools, content, and features (collectively, the "Service").

    By accessing the Service, creating an account, or purchasing a subscription, you agree to these Terms and our Privacy Policy (collectively, the "Agreement"). If you do not agree, do not use the Service.

    1. Financial Disclaimer — Not Investment Advice; Assumption of Risk

    THE SERVICE IS PROVIDED FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY AND IS NOT INVESTMENT, FINANCIAL, TAX, OR LEGAL ADVICE.

    • No recommendations. Nothing on the Service is a recommendation, solicitation, endorsement, or offer to buy, sell, or hold any security or financial product.
    • Not an adviser or broker. Value Snapshot is not registered as an investment adviser, broker-dealer, or similar regulated entity.
    • Models are estimates. Valuations are inherently speculative and depend on assumptions, inputs, and third-party data. Outputs may be incorrect, incomplete, or outdated.
    • AI limitations (if applicable). Any AI-generated insights, explanations, or summaries may be inaccurate, incomplete, or misleading and should be independently verified.
    • You are responsible. You are solely responsible for your investment decisions and outcomes.
    • No liability for investing losses. To the maximum extent permitted by law, Value Snapshot is not liable for any investment decisions, trading losses, missed opportunities, or damages arising from your use of or reliance on the Service.

    2. Eligibility; Account Registration

    • Age. You must be at least 18 years old (or the age of majority where you live, if higher).
    • Authority. If you use the Service on behalf of a business/entity, you represent you have authority to bind that entity to these Terms.
    • Accurate information. You agree to provide accurate and current information and maintain it.
    • Account security. You are responsible for safeguarding your credentials and for all activity under your account. Notify us immediately if you suspect unauthorized access.
    • No sharing. You may not sell, lease, share, sublicense, or transfer your account or login credentials without our written permission.

    3. Description of the Service

    Value Snapshot provides tools and software features that may include, without limitation:

    • Valuation frameworks (e.g., DCF, EPS-based models, PEG ratio views, Rule of 40 analysis)
    • Watchlists, portfolio tracking, saved calculations, notes, and dashboards
    • Charts and financial visualizations
    • Optional AI-assisted summaries or reports
    • Additional features we may add, remove, or modify over time

    We may modify, suspend, or discontinue any part of the Service at any time, subject to applicable law.

    4. Privacy

    Your use of the Service is subject to our Privacy Policy, which explains what information we collect (including account information, usage data, and profile avatar images), how we use it, and when we share it. The Privacy Policy is incorporated by reference into these Terms.

    5. General Conditions

    • Right to refuse or restrict service. We may refuse service, restrict access, suspend, or terminate accounts for any lawful reason, including suspected misuse, fraud, abuse, or security risk.
    • Service availability. The Service may be unavailable or interrupted from time to time (maintenance, outages, data provider issues). We do not guarantee uninterrupted availability.
    • Network transmissions. Data transmitted through the Service may involve transmissions over various networks and technical adaptations.
    • No unauthorized commercial use. You may not reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service without our express written permission.
    • Headings. Headings are for convenience only.

    6. Market Data and Information Accuracy

    • Third-party data. The Service may depend on third-party sources for market prices, fundamentals, estimates, filings references, corporate actions, and other financial information ("Third-Party Data").
    • No guarantee. Third-Party Data and Service outputs may be delayed, incorrect, incomplete, revised, or unavailable. We do not warrant accuracy, completeness, timeliness, or availability.
    • Not a primary source. The Service is not a substitute for primary sources (e.g., official filings, issuer disclosures, regulated broker data).
    • Reliance is your risk. Any reliance on the Service is at your sole risk.

    7. Subscriptions; Billing; Payments (Stripe)

    7.1 Paid Plans

    Certain features require a paid subscription ("Subscription"). Plan pricing and features are shown at checkout and/or within the Service.

    7.2 Payment Processor (Stripe)

    Payments are processed through Stripe. We do not store your full credit card number on our servers. By purchasing a Subscription, you authorize Stripe to charge your selected payment method on our behalf, and you agree to Stripe's applicable terms and policies.

    7.3 Auto-Renewal

    Unless stated otherwise at checkout, Subscriptions automatically renew at the end of each billing period (monthly/annual or as presented) until canceled. You authorize recurring charges until you cancel.

    7.4 Cancellation

    You can cancel your Subscription through your account settings (or by contacting support if your account settings do not provide cancellation functionality). Cancellation stops future renewals. Unless required by law, you will retain access through the remainder of the paid billing period.

    7.5 Refunds and Prorations

    Except where required by law or explicitly stated in writing by Value Snapshot:

    • All fees are non-refundable, and
    • no prorated refunds are provided for unused time, downgrades, or partial periods.

    7.6 Pricing Changes

    We may change plan pricing, features, or tiers. If a change affects your Subscription, we will provide notice as required by applicable law, and changes will take effect no earlier than your next renewal unless permitted or required sooner.

    7.7 Taxes

    Prices may exclude applicable taxes. You are responsible for all taxes, duties, or governmental charges related to your purchase, except where we are required to collect and remit them.

    7.8 Payment Disputes and Chargebacks

    If you initiate a chargeback or payment dispute, we may suspend access while the dispute is investigated and resolved. We may take steps to protect the Service from fraud or abuse consistent with applicable law.

    8. Account Information; Billing Accuracy

    You agree to maintain accurate account and billing information (including current email and payment method details) so we can process payments and contact you about your Subscription when needed.

    9. User Content and Profile Avatars (Images)

    9.1 What Users Can Upload

    The only user-uploaded images permitted on the Service are profile avatar images ("Avatar"). The Service does not support general image uploads (e.g., documents/photos for analysis) unless we explicitly enable a feature that states otherwise.

    9.2 Ownership

    You retain ownership of your Avatar and other information you submit (e.g., watchlists, portfolio entries, valuation inputs, notes).

    9.3 License to Host and Display Your Avatar

    By uploading an Avatar, you grant Value Snapshot a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, resize, crop, compress, and otherwise technically process the Avatar solely to operate and provide the Service (including profile display, formatting, and performance optimization).

    9.4 Your Responsibilities

    You represent and warrant that:

    • you have the rights necessary to upload the Avatar;
    • the Avatar does not violate any law or third-party rights (copyright, privacy, publicity); and
    • the Avatar does not contain illegal, harmful, or abusive content.

    9.5 Moderation and Removal

    We may remove or replace Avatars that violate these Terms, applicable law, or create risk.

    10. Acceptable Use; Prohibited Conduct

    You may not:

    • use the Service for unlawful purposes or to violate regulations;
    • attempt unauthorized access to systems, accounts, or data;
    • scrape, crawl, harvest, or extract content/data at scale without written permission;
    • bypass rate limits or use automation that degrades the Service;
    • reverse engineer, decompile, or attempt to extract source code (except to the extent such restriction is prohibited by law);
    • upload malware or disrupt Service operation;
    • resell, sublicense, or commercially exploit the Service without authorization;
    • submit false, misleading, or deceptive information;
    • interfere with security features or monitoring;
    • infringe intellectual property or privacy rights of others.

    We may investigate violations and take action, including suspension or termination.

    11. Intellectual Property

    • Our materials. The Service (including software, UI, branding, models, text, graphics, and compilations) is owned by Value Snapshot or its licensors and protected by law.
    • Limited license. We grant you a limited, revocable, non-transferable, non-sublicensable license to use the Service for personal use or internal business use consistent with your plan and these Terms.
    • Restrictions. You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works from the Service without our written consent.
    • Feedback. If you provide suggestions, you grant us the right to use them without restriction or compensation.

    12. Third-Party Services and Links

    The Service may reference or integrate with third-party services (including financial data providers and Stripe). We do not control third-party services and are not responsible for their content, availability, or practices. Your use of third-party services is subject to their terms.

    13. Disclaimers of Warranties

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AND AVAILABILITY. WE DO NOT WARRANT THAT:

    • the Service will be uninterrupted, secure, or error-free;
    • outputs, valuations, calculations, or AI results will be accurate or reliable;
    • defects will be corrected.

    14. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW:

    Excluded Damages

    Value Snapshot is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, loss of data, loss of goodwill, business interruption, or investment/trading losses.

    Liability Cap

    Value Snapshot's total liability for all claims arising out of or relating to the Service will not exceed the greater of:

    • the amount you paid us for the Service in the 12 months preceding the event giving rise to the claim; or
    • $100 USD.

    Basis of bargain. You acknowledge these limitations reflect a reasonable allocation of risk.

    Some jurisdictions do not allow certain limitations; in those jurisdictions, liability is limited to the maximum extent permitted by law.

    15. Indemnification

    You agree to indemnify, defend, and hold harmless Value Snapshot and its owners, officers, directors, employees, contractors, affiliates, licensors, and service providers from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

    • your use of the Service;
    • your Avatar or other content/information you submit;
    • your violation of these Terms; or
    • your violation of any law or third-party right.

    16. Termination

    • By you. You may stop using the Service at any time and may delete your account where available.
    • By us. We may suspend or terminate your access if you violate these Terms, if we suspect fraud/abuse, or for other lawful reasons.
    • Effect. Upon termination, your right to use the Service ends. Sections intended to survive (including disclaimers, limitation of liability, indemnification, and governing law) will survive.

    17. Dispute Resolution

    Option A — Courts (Simpler)

    Any dispute will be brought exclusively in the state or federal courts located in [County, State], and you consent to jurisdiction there.

    Option B — Arbitration + Class Action Waiver (Stronger Protection)

    Disputes are resolved by binding arbitration on an individual basis, with a class action waiver, except for small claims and injunctive relief for IP/security misuse.

    18. Governing Law

    These Terms are governed by the laws of [State, USA], excluding conflict-of-law rules.

    19. Time Limit to Bring Claims

    To the extent permitted by law, any claim must be brought within one (1) year of when it arose, or it is permanently barred.

    20. Severability; No Waiver; Entire Agreement; Assignment

    • Severability. If any provision is unenforceable, the remaining provisions remain in effect.
    • No waiver. Failure to enforce a provision is not a waiver.
    • Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Value Snapshot regarding the Service.
    • Assignment. You may not assign these Terms without our consent. We may assign these Terms in connection with a business transaction.

    21. Changes to These Terms

    We may update these Terms from time to time. The "Last Updated" date reflects the most current version. Continued use after changes take effect means you accept the revised Terms.
